Proposed issue of securities - SP3

In our recent announcement, Spectur Limited plans to issue 1,750,000 ordinary fully paid securities (ASX code: SP3) in a placement or other type of issue. The proposed issue date is on 3/7/2025. This issuance is under an existing class without the need for external approvals. The consideration for these securities involves Mr. Schmidt forgoing a portion of his salary totaling $25,753. The securities will rank equally with existing issued securities in that class. Despite no security holder approval, 1,750,000 fully paid ordinary shares will be issued under the entity's 15% placement capacity according to listing rule 7.1. This issuance is not underwritten, and there will be no lead manager or broker involved. The purpose of this issuance is to provide shares in lieu of partial CEO remuneration.
